Terms of Service

1. Acceptance

By accessing or using the Custos Advisory platform (“Service”) you agree to these Terms. If you are acting on behalf of a company you represent that you are authorised to bind that entity.

2. Accounts

Provide accurate registration information, maintain credential confidentiality, and promptly report any unauthorised use. We may suspend accounts for suspected abuse or security risk.

3. License & Access

Subject to compliance we grant a limited, non‑exclusive, non‑transferable license to access the Service for internal business operations. Reverse engineering, scraping, or circumventing technical controls is prohibited.

4. Customer Data

You retain ownership of Customer Data. You grant us a worldwide, limited license to host, process, transmit, and display Customer Data solely to provide and improve the Service, and to meet legal and compliance obligations.

5. Acceptable Use

• No unlawful, infringing, or fraudulent activity.
• No introduction of malware, denial of service attempts, or probing production infrastructure.
• No anonymous or pseudonymous accounts for regulated functions.

6. Confidentiality

Each party will protect the other's Confidential Information with at least reasonable care and only use it for the purpose of performing under these Terms.

7. Security & Compliance

We implement administrative, technical, and physical safeguards (encryption, access control, logging, monitoring, backups) and maintain industry-standard compliance processes. See Security.

8. Payment & Invoicing

Fees are invoiced per plan or custom agreement. Late amounts may incur interest at the lesser of 1.5% monthly or the maximum permitted by law.

9. Suspension

We may suspend the Service for (a) security risk, (b) non‑payment, (c) legal request, or (d) material breach. We will provide notice when practicable.

10. Term & Termination

Either party may terminate for uncured material breach (30 days' written notice) or if the other becomes insolvent. Upon termination your access ceases and we provide a 30‑day data export window.

11. Warranties

Each party warrants it has the authority to enter these Terms. The Service is provided “as is” without other warranties. We disclaim implied warranties of merchantability, fitness, and non‑infringement.

12. Limitation of Liability

Neither party is liable for indirect, incidental, special, or consequential damages. Aggregate liability will not exceed fees paid in the preceding 12 months.

13. Indemnity

You will indemnify us for claims arising from (a) Customer Data, or (b) breach of these Terms. We will indemnify you for claims alleging the Service infringes a third‑party IP right, excluding combinations or modifications you make.

14. Export & Sanctions

You represent you are not located in a sanctioned jurisdiction or on a restricted list and will not export or provide the Service to prohibited end users.

15. Governing Law

Unless otherwise agreed, governing law will be that of England & Wales, without regard to conflicts principles.

16. Changes

We may update these Terms; material updates will be communicated via dashboard or email. Continued use constitutes acceptance.
